Terms of Service

These Terms of Service set forth the conditions for the use of Cleture sustainability software provided by Cleture Yazılım A.Ş. By using the software, you are deemed to have accepted these terms.

• "Software": Cleture sustainability management platform and all related modules (Corporate Carbon, Water Footprint, Product Footprint)
• "User": Natural or legal person using the software
• "Company": Cleture Yazılım A.Ş.
• "Subscription": Software usage rights under annual license agreement

Cleture is software provided under the SaaS (Software as a Service) model. In exchange for an annual subscription fee, a limited, non-exclusive, non-transferable license is provided to your company to use the software. This license is valid for the subscription period and expires if not renewed.

Cleture software is licensed under an annual subscription model. The subscription fee is determined based on selected modules and number of facilities. Payment is collected upfront at the beginning of the subscription period. If the subscription is not renewed, access to the software ends at the end of the subscription period. No refunds are provided in case of cancellation.

The following activities are strictly prohibited when using the software:

• Use for illegal activities
• Distribution of malware or cyber attacks
• Spam or unsolicited bulk communication
• Violation of intellectual property rights
• Reverse engineering or extraction of source code
• Sublicensing or renting the software to third parties
• Using the software to develop competing products

Cleture is a cloud-based SaaS solution. The software is hosted on servers managed by Cleture Yazılım A.Ş. Your data is securely stored at Turkcell Datacenter located in Turkey. Our company provides service with a 99.9% uptime target, however scheduled maintenance and force majeure events are excluded from this scope.

The software is provided "AS IS". Cleture Yazılım A.Ş. makes no express or implied warranties that the software will be uninterrupted, error-free, or fit for a particular purpose. The accuracy of calculation results depends on the accuracy of the data entered.

The total liability of Cleture Yazılım A.Ş. shall in no event exceed the subscription fees paid by the user in the last 12 months. The company shall not be liable for indirect, incidental, special, or consequential damages (including data loss, business loss, loss of profits) arising from the use of the software.

The Cleture brand, logo, software code, algorithms, and all content are the exclusive property of Cleture Yazılım A.Ş. The subscription license does not transfer these intellectual property rights. Users retain rights to reports and data they produce using the software.

In case of violation of these terms, Cleture Yazılım A.Ş. reserves the right to terminate your subscription immediately. Upon termination, your access to the software ends and you must export your data within 30 days. After this period, your data will be permanently deleted.

These Terms of Service may be updated from time to time. We will notify users by email when significant changes are made. Your continued use of the software means you accept the updated terms.

These Terms of Service are subject to the laws of the Republic of Turkey. İzmir Courts and Enforcement Offices have jurisdiction for the resolution of disputes.
